• INTELLECTUAL PROPERTY, LICENCE AND RESTRICTIONS
1. THE SITES AND SERVICES
   The websites located at vortexweb.cloud are copyrighted works belonging to VortexWeb, Ltd and its affiliates ("the Company," "us," "our," and/or "we"). These Terms of Use (“Terms”) constitute a legally binding agreement between you, as an end-user of our Sites (“User,” “you,” and/or “your”), and the Company. The Company provides services through the Sites and offers products for sale (collectively the "Services"). Your use of the Sites or Services indicates your agreement to be bound by these Terms.
2. ACCOUNTS AND PAYMENT
   1. Account Creation: To use certain features (e.g., upload a design or make purchases), you must register for a Company Account and provide accurate information. You may delete your account anytime, and the Company may suspend or terminate your account as per Section 9.
   2. Account Responsibilities: Maintain the confidentiality of your login information and notify the Company of any unauthorized use. You are responsible for all activities under your account.
   3. Payment Terms: vortexweb provides access to payment processing services. Payments are subject to the User-to-User Payment Terms.

• SITE
1. License: The Company grants you a non-transferable, non-exclusive license to use the Sites and Services for personal and noncommercial use.
2. Restrictions: Do not license, sell, modify, or access the Sites for competitive services. No part may be copied without permission.
3. Modification: The Company reserves the right to modify, suspend, or discontinue the Sites or Services. No obligation for support or maintenance.
4. Ownership: Intellectual property rights in the Sites and Services belong to the Company. Your use does not transfer any rights.
5. Consent to Use of Personal Data: By using the Sites, you agree that the Company may collect and use personal data as per the Privacy Policy.

• USER CONTENT
1. User Content: You retain intellectual property rights in your User Content. You are solely responsible for its accuracy and compliance with the Acceptable Use Policy.
2. License: You grant the Company a license to use your User Content for the purpose of including it in the Sites and Services.
3. Acceptable Use Policy: User Content must comply with the Acceptable Use Policy outlined in these Terms.

• SECONDARY LICENSE FOR USER CONTENT AND DESIGNS
1. Secondary License: Users may choose a secondary license for User Content, allowing other Users to use it based on specified terms.
2. Enforcement: Users are responsible for selecting and enforcing secondary licenses. The Company advises Users but does not guarantee compliance.

• INDEMNITY
You agree to indemnify and hold the Company harmless from any claims arising from your use of the Sites, User Content, or violation of these Terms.

• THIRD PARTY SITES & ADS; OTHER USERS; VORTEXWEB BOT PROGRAM
1. Third Party Sites & Ads: The Company is not responsible for third-party websites, services, or advertisements. Use them at your own risk.
2. Other Users: Interactions with other Users are solely your responsibility. The Company is not liable for disputes between Users.
3. VortexWeb Bot Program: The program allows Developers to integrate their applications with the VortexWeb Bot Ecosystem. Users access Applications at their risk, subject to third-party terms.

• DISCLAIMERS
The Sites and Services are provided "as-is" and "as available." The Company disclaims any warranties, including merchantability, fitness for a particular purpose, and non-infringement. No guarantee that the Sites will meet your requirements or be error-free.

• LIMITATION ON LIABILITY
In no event shall VortexWeb be liable for lost profits or any indirect, consequential, exemplary, or punitive damages.

• TERM AND TERMINATION
These Terms remain in effect while you use the Sites. The Company may suspend or terminate your account at its discretion. Termination involves the deletion of associated User Content. Provisions regarding liability survive termination.

• INTELLECTUAL PROPERTY INFRINGEMENT POLICY
The Company reserves the right to terminate accounts for intellectual property infringement.

• GENERAL
Changes to Terms: These Terms may be revised, and changes will be effective 30 days after notice. Continued use indicates acceptance of changes.
