This End User License Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("Licensee", "you", or "your") and VortexWeb LLC ("Licensor", "VortexWeb", "we", "us") governing your use of the Ziwo application (the "Application" or "Ziwo"), a native Bitrix24 marketplace application developed, published, and supported by VortexWeb LLC. By installing, accessing, or otherwise using Ziwo — whether from the Bitrix24 Marketplace or via any other distribution channel — you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use Ziwo.
The term "Application", "Ziwo", or "Software" throughout this Agreement refers specifically and exclusively to the Ziwo marketplace application published by VortexWeb LLC on the Bitrix24 Marketplace, including all associated source code, binaries, documentation, screenshots, marketing assets, API endpoints, middleware services, and any updates, upgrades, patches, or modifications subsequently released under the same application name.
The "Portal" means the Bitrix24 instance (cloud-hosted on bitrix24.com infrastructure, or self-hosted / on-premise Bitrix24 deployment) into which the Licensee installs and operates Ziwo.
"Licensee" means the legal entity or individual that installs or uses Ziwo on a Portal under its administrative control. If the Licensee is an organisation, the natural person accepting this Agreement represents that they have authority to bind the organisation.
"Data" means all events, records, documents, configuration, user information, and other content processed, stored, or transmitted by or through Ziwo in the Licensee's Portal.
Subject to your compliance with this Agreement and payment of any applicable fees, VortexWeb hereby grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Ziwo within your Bitrix24 Portal, solely for your internal business purposes and only for the number of Portals, users, or transaction volume authorised by your subscription tier on the Bitrix24 Marketplace.
The license granted by this Agreement is issued per Bitrix24 Portal. Installation of Ziwo on multiple Portals — whether operated by the same Licensee or affiliated entities — requires a separate license and subscription for each Portal.
The license to use Ziwo becomes effective upon successful installation of the Application into your Portal and acceptance of this Agreement. For paid tiers, the license remains effective as long as the subscription is active and in good standing via the Bitrix24 Marketplace billing system.

The Application — Ziwo — is delivered exclusively through the Bitrix24 Marketplace and through authorised channels published by VortexWeb. Any copy of Ziwo obtained through unauthorised means is not licensed and may not be used.
VortexWeb retains all right, title, and interest in and to Ziwo, including all intellectual property rights therein. This Agreement grants the Licensee a limited right to use Ziwo and does not transfer any ownership of the Application or its underlying technology.
Ziwo may incorporate or depend upon third-party components subject to their own license terms, including open-source libraries. A list of third-party components and their licenses is available on request via support@vortexweb.cloud.
"Ziwo", "VortexWeb", and the VortexWeb logo are trademarks of VortexWeb LLC. "Bitrix24" is a trademark of Bitrix, Inc. and is used here solely to indicate that Ziwo is a marketplace application for the Bitrix24 platform; no affiliation beyond VortexWeb's status as a certified Bitrix24 Gold Partner and marketplace publisher is claimed.
All Data — including CRM records (leads, deals, contacts, companies), call logs, call recordings, phone numbers, configuration, and all other content read or processed by Ziwo — is and remains the sole property of the Licensee. VortexWeb claims no ownership of Licensee Data.
Ziwo connects the Licensee's Ziwo cloud-telephony account to their Bitrix24 Portal. To provide its functionality, Ziwo processes call-related data including phone numbers, call direction and duration, call records (CDR), call recordings where enabled, and the Bitrix24 CRM records (Leads, Contacts, Deals) matched to those calls. Ziwo writes call activities to the Licensee's Bitrix24 Portal and, where configured by an administrator, may create Leads or Deals for previously unknown numbers. Call data and recordings remain the property of the Licensee and reside in the Licensee's Bitrix24 Portal and Ziwo account; VortexWeb's integration proxies and routes this data between Ziwo and Bitrix24 and does not sell, rent, or share Licensee Data, retaining only short-lived operational logs (typically up to 14 days) for troubleshooting. Authentication tokens are held only as long as needed to maintain the active session.
Ziwo requires an active, separately-licensed Ziwo cloud-telephony account to function. The Licensee is responsible for their own Ziwo subscription, agent credentials, and compliance with Ziwo's own terms of service. Ziwo (the VortexWeb integration) transmits call and CRM data between the Licensee's Bitrix24 Portal and their Ziwo account, including via VortexWeb's proxy infrastructure for click-to-call, recording retrieval, and incoming-call notification. VortexWeb is a Ziwo partner but is a separate entity from Ziwo; VortexWeb is not responsible for the availability, accuracy, or conduct of the Ziwo platform itself. Call recording and monitoring may be subject to laws in the Licensee's jurisdiction, and the Licensee is solely responsible for obtaining any consents required to record or log calls.
VortexWeb follows industry-standard security practices for Ziwo: encrypted transport (TLS 1.2+), least-privilege OAuth scopes, secret rotation, logged administrative access, and vulnerability scanning of the Application's middleware.
Additional details about VortexWeb's data handling practices are set out in the VortexWeb Privacy Policy, which is incorporated into this Agreement by reference.
Commercial terms for Ziwo are agreed directly between the Licensee and VortexWeb. Ziwo requires a separate, Licensee-provided Ziwo cloud-telephony subscription, which is contracted with Ziwo and is not included in or governed by this Agreement. Any VortexWeb setup, configuration, or support services are quoted and contracted separately. Details are available on the Ziwo product page at https://vortexweb.cloud/ziwo.html.
Ziwo is offered as a free application. VortexWeb may introduce optional paid features or usage limits in future versions; any such terms will be described on the Bitrix24 Marketplace listing at that time.
As Ziwo is free, no subscription tier or billing cycle applies to the Application itself. Optional professional services are contracted separately.
You may stop using Ziwo at any time by uninstalling the Application from your Portal. As the Application is free, no billing or refund terms apply to it.
VortexWeb provides support for Ziwo via the following channels:
Standard support hours are Sunday–Thursday, 09:00–18:00 Gulf Standard Time (GST). Urgent issues affecting production systems are triaged on a best-effort basis outside these hours for Licensees on paid tiers.
Support covers installation, configuration, and defects in Ziwo (the VortexWeb integration). It does not cover the Ziwo cloud-telephony platform itself, the Licensee's Ziwo account or subscription, general Bitrix24 administration, custom development requests, or issues caused by unauthorised modifications to Ziwo. Telephony-platform issues should be raised with Ziwo directly.
Ziwo is provided "as is" and "as available". To the maximum extent permitted by applicable law, VortexWeb disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, and quiet enjoyment.
VortexWeb does not warrant that Ziwo will be uninterrupted, error-free, timely, or free from security vulnerabilities. Platform availability depends on the underlying Bitrix24 platform and on third-party dependencies over which VortexWeb has no control.
To the maximum extent permitted by applicable law, VortexWeb's total aggregate liability arising out of or in connection with this Agreement or the use of Ziwo shall not exceed the total amount of fees actually paid by the Licensee to VortexWeb for Ziwo during the twelve (12) months immediately preceding the event giving rise to the claim.
IN NO EVENT SHALL VORTEXWEB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF USE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE Ziwo, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF VORTEXWEB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Licensee is solely responsible for maintaining backups of Data processed through Ziwo. VortexWeb is not liable for Data loss arising from Portal failures, user error, platform outages, cyberattacks, or any other cause outside VortexWeb's direct control.
This Agreement takes effect upon installation of Ziwo and continues until terminated in accordance with this Section 10.
The Licensee may terminate this Agreement at any time by uninstalling Ziwo from all Portals on which it has been installed.
VortexWeb may terminate this Agreement and the license granted herein immediately, with or without notice, if the Licensee breaches any material term of this Agreement or fails to pay applicable subscription fees.
Upon termination, the Licensee's rights to use Ziwo cease immediately, and the Licensee shall promptly uninstall the Application from all Portals. Sections 3 (Restrictions), 4 (Ownership), 5 (Data), 8 (Warranty), 9 (Liability), 11 (Governing Law), and 12 (Contact) shall survive termination.
This Agreement is governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or relating to this Agreement or Ziwo shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, United Arab Emirates. Nothing in this Section prevents VortexWeb from seeking injunctive relief in any jurisdiction to protect its intellectual property.
This Agreement constitutes the entire agreement between the parties with respect to Ziwo and supersedes all prior or contemporaneous understandings, representations, or agreements, written or oral, regarding the Application.
VortexWeb may update this Agreement from time to time. The most recent version is always published at https://vortexweb.cloud/ziwo-eula.html. Continued use of Ziwo after an update constitutes acceptance of the revised terms.
If any provision of this Agreement is held to be unenforceable, the remaining provisions shall continue in full force and effect.
The failure of VortexWeb to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.
You may not assign or transfer this Agreement or any rights hereunder without VortexWeb's prior written consent. VortexWeb may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.
